Force Majeure:
Any delay or failure of performance by either PARTY shall not constitute default or give rise to any claim for damages if and to the extent that such delay or failure is caused by events unforseeable and beyond its reasonable control, including, but not limited to: strikes, natural disaster, fire, flood, war, riots and insurrection, regulations, general shortage of raw material or energy; provided however that the PARTY seeking relief notifies the other PARTY thereof promptly after such a circumstance has occurred.
If the performance of this AGREEMENT is prevented to a substantial extent for a period of more than three (3) months due to any such circumstance, each PARTY shall be entitled to immediately terminate this AGREEMENT by written notice to the other PARTY without incurring any liability to the other Party.
